EVSC Affiliate Representative Agreement
This Affiliate Agreement (the “Agreement”) is made between you, the affiliate, hereinafter referred to as the “Affiliate Representative”, and EVSC Brands (USA) Corp., located at 169 Burt Road, Lexington, KY, 40503, hereinafter referred to as “EVSC”. - Appointment of Affiliate Representative
The affiliate must attend a training call or EVS teams meeting. Thereafter, EVSC will set up an affiliate link for the Affiliate Representative under the terms and conditions contained herein. EVSC hereby appoints the Affiliate Representative, at their own cost and expense, to serve as an Affiliate Representative for EVSC, to identify and solicit potential customers to order EVSC Products from its website (enhancedvetsciences.com), from its catalog, or from its membership programs.
This appointment is on a non-exclusive basis unless otherwise specified by a separate agreement between the Parties. EVSC reserves the right to engage other Affiliate Representatives or its employees to sell EVSC Products.
For the purposes of this Agreement, “EVSC Products” refers to EVSC’s complete catalog of products. - Commission
For any sales conversions completed by EVSC that are derived from the affiliate link or coupon associated with the Affiliate Representative, EVSC shall pay the following commissions:
• Commissions are based on the net sales amount (excluding taxes, shipping, coupons and returns) for each completed and verified sale.
• Commission percentages are based on the performance tier structure outlined in the attached Table 1
• Commissions will be calculated monthly and paid no later than 30 days after the end of the month in which the sale was completed.
• EVSC reserves the right to adjust commission rates at any time with 14 days’ prior written notice to the Affiliate Representative.
• Commissions will not be paid for canceled or refunded orders or any transaction deemed fraudulent by EVS. - Term and Termination
This Agreement shall commence on the Effective Date and will remain in effect until terminated by either Party with 30 days’ written notice.
EVSC may terminate this Agreement immediately for cause if the Affiliate Representative breaches any material terms or engages in conduct that may harm EVSC’s reputation or business interests - Marketing and Promotional Guidelines
The Affiliate Representative agrees to promote EVSC Products in a professional, accurate, and ethical manner. Misleading claims or misrepresentation of the relationship with EVSC is strictly prohibited. All promotional content must adhere to EVSC’s branding and marketing guidelines and may be subject to review or approval. - Independent Contractor
Nothing in this Agreement shall be construed to create a partnership, joint venture, or employer-employee relationship. The Affiliate Representative is an independent contractor and shall not represent themselves as an employee or agent of EVSC. - Intellectual Property
The Affiliate Representative may use EVSC’s trademarks, logos, and promotional assets only for the purpose of marketing EVSC Products and only with prior written approval. All intellectual property rights remain the exclusive property of EVSC. - Confidentiality
The Affiliate Representative agrees to maintain the confidentiality of all non-public, proprietary, or sensitive information provided by EVSC and shall not disclose such information to any third party without written permission. - Limitation of Liability
In no event shall either Party be liable to the other for any indirect, incidental, special, or consequential damages, including lost profits, even if advised of the possibility of such damages. - Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of Kentucky, without regard to its conflict of law provisions. - Entire Agreement
This Agreement constitutes the entire agreement between the Parties concerning the subject matter and supersedes all previous or contemporaneous understandings, communications, or agreements—written or oral.
