Terms & conditions This Affiliate Agreement (the “Agreement”) is made between you, the affiliate, hereinafter referred to as (“Fundraiser Agent”) and EVSC Brands (USA) Corp., with an address of 169 Burt Road, Lexington, KY, 40503, hereinafter referred to as (“EVSC”). EVSC and Fundraiser Agent may individually be referred to in this Agreement as a “Party” or collectively as “The Parties.” (1) Appointment of Non-Profit Fundraiser Agent - EVSC will set up an affiliate link for Fundraiser Agent on the terms and conditions contained herein. EVSC hereby appoints Fundraiser Agent, at its own costs and expense, to serve as Fundraiser Agent for EVSC, to identify and solicit potential customers to order EVSC Products from its website (enhancedvetsciences.com), from its catalogue, or from its membership programs. The appointment of a Fundraiser Agent herein is on a non-exclusive basis unless otherwise specified by a separate agreement between the Parties and EVSC shall be free to have other Fundraiser Agents, or its employees engaged in selling EVSC’s Products. For purposes of this Agreement, the term “EVSC Products” means EVSC’s complete catalogue of products. (2) Remuneration - For any sales completed by EVSC that are derived from the Non-Profit Fundraiser Agent, EVSC shall pay the following Remunerations: -$0 to $4,999 - 25% Remuneration on Sales Generated -$5,000 to $9,999 - 30% Remuneration on Sales Generated -$10,000+ - 35% Remuneration on Sales Generated -EVSC shall pay Affiliate Representative commissions due on an ongoing basis, paid out within a maximum of 30 days from the end of each previous 30-day payment period. -EVSC shall process and pay out Affiliate Representative commissions only when the total accrued rewards for the previous payment period exceed $50. Rewards totaling less than $50 in any payment period will not be paid out and will not carry over to subsequent pay periods. (3) Compliance With Law - Fundraiser Agent acknowledges that EVSC’s Products are or may be subject to laws and regulations of the United States government, state, county, or local governments in the United States, and national, provincial, or local governments outside the United States relating to the selling or use of natural health supplements (“Applicable Laws”). Fundraiser Agent hereby represents and warrants to EVSC that it is fully aware of all Applicable Laws, permits or permissions required under Applicable Laws from governmental authorities to enter into and perform the obligations contained in this Agreement. (4) Independent Contractor - In performance of this Agreement, the Parties agree that Non-Profit Fundraiser Agent is an independent contractor and nothing in this agreement shall be deemed to create a joint venture, partnership, franchise, agency, employer/employee or similar relationship. (5) Right of Access / Confidentiality - In performing this Agreement, EVSC may disclose to Non-Profit Fundraiser Agent, or Non-Profit Fundraiser Agent may have access to, proprietary, technical or business information of EVSC and its affiliates (“Confidential Information”); provided, however, “Confidential Information” does not include any information that (i) was publicly known or in the public domain prior to the time of disclosure to Non-Profit Fundraiser Agent; (ii) becomes publicly known or in the public domain after disclosure other than as a result of Non-Profit Fundraiser Agent’s action; (iii) was in the possession of Non-Profit Fundraiser Agent, without confidentiality restrictions, at the time of disclosure to Non-Profit Fundraiser Agent; or (iv) was or is independently developed by Non-Profit Fundraiser Agent without using any of EVSC’s Confidential Information. Non-Profit Fundraiser Agent shall use Confidential Information solely for purposes of performing this Agreement and shall not, unless legally compelled, disclose such Confidential Information to any other person other than to its employees, officers, directors, members, managers, attorneys and accountants (“Non-Profit Fundraiser Agent Personnel”) who, in LICENSEE’S reasonable business judgment, has a business need for the Confidential Information for purposes of operating Non-Profit Fundraiser Agent’s business. Non-Profit Fundraiser Agent shall be responsible for any breach of this Section 6(b) by Non-Profit Fundraiser Agent Personnel. (6) Miscellaneous Terms (a) Either Party may terminate this Agreement, with or without cause, on fifteen days (15 day) advance written notice to the other Party but Section 2 shall survive any termination for one (1) year. The survival of Section 2 shall not apply to Non-Profit Fundraiser Agents causing detrimental harm to EVSC and / or its affiliates as outlined in 6(b) below. (b) If at any time Non-Profit Fundraiser Agent or any of its agents are found to be causing detrimental harm to EVSC and / or its affiliates, EVSC will send a written warning letter to Non-Profit Fundraiser Agent. If after 7 business days, the Parties are unable to resolve any disputed harms, EVSC reserves the right to immediately terminate all business dealings, representations, and Remunerations with Non-Profit Fundraiser Agent. (c) This Agreement shall be governed by the laws of the Commonwealth of Kentucky (except its conflicts of law provisions). (d) This Agreement constitutes the sole and entire agreement of the Parties and supersedes all prior and contemporaneous understandings relating to the subject matter. This Agreement may only be amended, by an agreement in writing signed by each Party. Neither Party may assign this Agreement, in whole or part, without the prior written consent of the other Party and any purported assignment without consent shall be null and void. (e) This Agreement is for the sole benefit of the parties hereto and their respective successors and permitted assigns and nothing herein is intended to confer any right or remedy to any other person. No waiver by any Party of any of the provisions hereof shall be effective unless explicitly set out in writing and signed by the Party so waiving. No failure to exercise, or delay in exercising, any right, remedy, power, or privilege arising from this Agreement shall operate or be construed as a waiver thereof. (7) Terms and Conditions – Non-Profit Fundraiser Agent warrants that it has read and understands the terms and conditions, privacy policy, refund policy and FAQs available on the EVSC website and agrees to uphold the company’s standards to the best of its ability while conducting business as a representative of EVSC. (8) Confirmation of Agreement - With receipt of electronic submission by the affiliate representative, EVSC will review the submission in a timely manner. Upon approval, EVSC will email the affiliate representative an approval email with a unique link, login, and other applicable details. The start date of this agreement will coincide with the EVSC approval email. I agree to the terms & conditions
