Terms & conditions This Affiliate Agreement (the “Agreement”) is made between you, the affiliate, hereinafter referred to as (“Affiliate Representative”) and EVSC Brands (USA) Corp., with an address of 169 Burt Road, Lexington, KY, 40503, hereinafter referred to as (“EVSC”). EVSC and Affiliate Representative may individually be referred to in this Agreement as a “Party” or collectively as “The Parties.” (1) Appointment of Affiliate Representative - EVSC will set up an affiliate link for Affiliate Representative on the terms and conditions contained herein. EVSC hereby appoints Affiliate Representative, at its own costs and expense, to serve as Affiliate Representative for EVSC, to identify and solicit potential customers to order EVSC Products from its website (enhancedvetsciences.com), from its catalogue, or from its membership programs. The appointment of Affiliate Representative herein is on a non-exclusive basis unless otherwise specified by a separate agreement between the Parties and EVSC shall be free to have other Affiliate Representatives, or its employees engaged in selling EVSC’s Products. For purposes of this Agreement, the term “EVSC Products” means EVSC’s complete catalogue of products. (2) Commission - For any sales conversions completed by EVSC that are derived from the affiliate link associated to the Affiliate Representative, EVSC shall pay the following commissions: • Traditional Sales Agents receive 5% on sales from their approved EVSC Distributor quotes • Traditional Sales Agents receive 5% on sales from their approved EVSC Retailer quotes • Traditional Sales Agents are eligible to become social influencers and/or fundraisers but are not eligible to sign up as retailers or distributors. Some exceptions may apply. • EVSC shall pay Representative commissions due on an ongoing basis, paid out within a maximum of 30 days from the end of each previous 30-day payment period. • EVSC shall process and pay out commissions only when the total accrued rewards for the previous payment period exceed $50. Rewards totaling less than $50 in any payment period will not be paid out and will not carry over to subsequent pay periods. (3) Compliance With Law - Affiliate Representative acknowledges that EVSC’s Products are or may be subject to laws and regulations of the United States government, state, county, or local governments in the United States, and national, provincial, or local governments outside the United States relating to the selling or use of natural health supplements (“Applicable Laws”). Affiliate Representative hereby represents and warrants to EVSC that it is fully aware of all Applicable Laws, permits or permissions required under Applicable Laws from governmental authorities to enter into and perform the obligations contained in this Agreement. (4) Independent Contractor - In performance of this Agreement, the Parties agree that Affiliate Representative is an independent contractor and nothing in this agreement shall be deemed to create a joint venture, partnership, franchise, agency, employer/employee or similar relationship. (5) Right of Access / Confidentiality - In performing this Agreement, EVSC may disclose to Affiliate Representative, or Affiliate Representative may have access to, proprietary, technical or business information of EVSC and its affiliates (“Confidential Information”); provided, however, “Confidential Information” does not include any information that (i) was publicly known or in the public domain prior to the time of disclosure to Affiliate Representative; (ii) becomes publicly known or in the public domain after disclosure other than as a result of Affiliate Representative’s action; (iii) was in the possession of Affiliate Representative, without confidentiality restrictions, at the time of disclosure to Affiliate Representative; or (iv) was or is independently developed by Affiliate Representative without using any of EVSC’s Confidential Information. Affiliate Representative shall use Confidential Information solely for purposes of performing this Agreement and shall not, unless legally compelled, disclose such Confidential Information to any other person other than to its employees, officers, directors, members, managers, attorneys and accountants (“Affiliate Representative Personnel”) who, in LICENSEE’S reasonable business judgment, has a business need for the Confidential Information for purposes of operating Affiliate Representative’s business. Affiliate Representative shall be responsible for any breach of this Section 6(b) by Affiliate Representative Personnel. (6) Miscellaneous Terms (a) Either Party may terminate this Agreement, with or without cause, on fifteen days (15 day) advance written notice to the other Party but Section 2 shall survive any termination for one (1) year. The survival of Section 2 shall not apply to Affiliate Representatives causing detrimental harm to EVSC and / or its affiliates as outlined in 6(b) below. (b) If at any time Affiliate Representative or any of its agents are found to be causing detrimental harm to EVSC and / or its affiliates, EVSC will send a written warning letter to Affiliate Representative. If after 7 business days, the Parties are unable to resolve any disputed harms, EVSC reserves the right to immediately terminate all business dealings, representations, and commissions with Affiliate Representative. (c) This Agreement shall be governed by the laws of the Commonwealth of Kentucky (except its conflicts of law provisions). (d) This Agreement constitutes the sole and entire agreement of the Parties and supersedes all prior and contemporaneous understandings relating to the subject matter. This Agreement may only be amended, by an agreement in writing signed by each Party. Neither Party may assign this Agreement, in whole or part, without the prior written consent of the other Party and any purported assignment without consent shall be null and void. (e) This Agreement is for the sole benefit of the parties hereto and their respective successors and permitted assigns and nothing herein is intended to confer any right or remedy to any other person. No waiver by any Party of any of the provisions hereof shall be effective unless explicitly set out in writing and signed by the Party so waiving. No failure to exercise, or delay in exercising, any right, remedy, power, or privilege arising from this Agreement shall operate or be construed as a waiver thereof. (7) Terms and Conditions – Affiliate Representative warrants that it has read and understands the terms and conditions, privacy policy, refund policy and FAQs available on the EVSC website and agrees to uphold the company’s standards to the best of its ability while conducting business as a representative of EVSC. (8) Confirmation of Agreement- With receipt of electronic submission by the affiliate representative, EVSC will review the submission in a timely manner. Upon approval, EVSC will email the affiliate representative an approval email with a unique link, login, and other applicable details. The start date of this agreement will coincide with the EVSC approval email. I agree to the terms & conditions
